Software License

This Agreement governs your installation, purchase, activation, and use of LocalMask. By installing, purchasing, activating, or using the software, you agree to this Agreement and the separately available Privacy Policy. If you do not agree, do not use the software.

1. Provider and product

LocalMask is provided by Nanjing Lingxin Technology Co., Ltd., Nanjing, Jiangsu, China. It is a desktop application for local recognition, masking, replacement, and redaction of sensitive information in supported documents and images.

Redaction runs locally and offline. LocalMask does not send original documents, recognition results, or redacted outputs to servers operated by us or any third party.

2. License grant

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use LocalMask on properly licensed devices. Unless we expressly authorize otherwise in writing, the desktop software on each activated device is for the exclusive use of one individual and may not be shared by multiple individuals, whether concurrently or in turns. That individual may use it for lawful personal matters, organizational work they personally undertake, or as an internal supporting tool in their own other business or professional services. The applicable license mode, device count, term, eligible versions, and functions are determined by your purchase, license payload, or separate written agreement.

The single-user restriction applies to the desktop interface and any command-line, script, or other calling methods actually provided by the desktop software. The method of access does not expand the license scope. Licenses with separate written terms are governed by their corresponding agreements.

3. Offline licenses

A single-device offline license is normally bound to the machine code used when it is issued. It does not require recurring verification with our licensing server. A perpetual offline license permits continued use only of versions covered by its maintenance cutoff and other license conditions.

Because an offline license cannot normally be revoked, frozen, or invalidated remotely after delivery, you must confirm the machine and license terms before issuance and keep the license material secure. Refund, replacement, migration, or cancellation rights are governed by the purchase page, order terms, applicable law, and any separate written agreement.

4. Enterprise licenses

The seats, term, online requirements, device administration, service scope, and other rights and obligations for enterprise licensing are governed by the contract or other written agreement separately entered into by the parties.

5. Your responsibilities and restrictions

You must keep license materials and account credentials confidential. You may not share, resell, sublicense, rent, lend, or transfer them to an unauthorized party.

Except where applicable law expressly permits otherwise, you may not reverse engineer, decompile, disassemble, bypass or interfere with licensing or integrity controls, remove ownership notices, distribute modified copies, or use LocalMask to violate law, contracts, privacy, confidentiality, intellectual-property, or other third-party rights.

You may not: (a) for profit, accept documents or data from a third party for sensitive-information detection, masking, replacement, or redaction and deliver the processed results to that third party, or directly or indirectly charge for such processing; (b) sell, license, or otherwise provide for consideration any file, dataset, or other output primarily generated using LocalMask where the principal value of that output lies in the redaction itself; or (c) provide all or part of LocalMask's core functionality to a third party through a website, platform, client application, API, hosted processing, batch processing, rebranding, or similar arrangement.

You may not use shared devices, remote access, command-line calls, API wrappers, automated workflows, task forwarding, or other methods to make the desktop software a centralized processing tool or shared service for other individuals, a team, or third parties, whether paid or free and whether access is concurrent or sequential, unless we expressly authorize otherwise in writing.

The restrictions on paid third-party redaction and provision of core functionality do not prohibit the individual from using LocalMask solely as an internal supporting tool in their own other business or professional services provided to customers, as long as redaction is not advertised, quoted, charged for, or delivered as a separate or principal service. Such use remains subject to the single-user and no-sharing restrictions.

You are responsible for ensuring that you have a lawful basis to process documents and for reviewing redaction results before external submission, disclosure, filing, or use in a legal, regulatory, medical, financial, or other consequential process.

6. Intellectual property

LocalMask, including its interface, code, algorithms, rules, models, documentation, branding, and structure, is owned by us or the relevant rights holder. This Agreement grants only a limited license and does not transfer ownership. Third-party open-source components remain subject to their applicable licenses.

You retain whatever rights you lawfully hold in source materials and outputs. Your control or use of an output does not authorize any paid third-party redaction service or other conduct prohibited by this Agreement.

7. Data and privacy

Redaction is local. LocalMask does not send original documents, recognition results, redacted outputs, redaction settings, or related business content to servers operated by us or any third party.

To provide licensing, support, security auditing, and abuse prevention, we process necessary licensing information. License checks do not upload original documents, recognition results, or redacted outputs. Licensing information is not used for unrelated advertising profiles. Details about information types, processing, visibility, retention, and individual rights are set out in the Privacy Policy.

8. Third-Party AI Invocation and Risks

1. When you invoke the software through a third-party artificial intelligence tool, agent, or automation program, the software's redaction and restoration processing continues to take place on your local device. Any reading, transmission, storage, or use of files, conversations, or processing results by the third-party tool depends on its own functionality, permission settings, and applicable terms, and falls outside the software's local processing.

2. Artificial intelligence may behave unexpectedly due to model capabilities, misinterpretation of instructions, runtime conditions, or other factors. Skill descriptions and invocation instructions provided by the Company guide the workflow; they do not constitute file-access isolation measures and do not guarantee that third-party tools will always follow instructions or refrain from reading or uploading unredacted originals, restored files, or other sensitive information.

3. You should select third-party tools and configure access permissions, network access, and data-use settings according to the sensitivity of the data and applicable confidentiality requirements. For data that must not be provided externally, use a locally deployed, offline, or isolated environment that satisfies those requirements. Restored files may contain sensitive information again; confirm the relevant authorization before providing them to a third-party tool.

4. The Company makes no warranties regarding the behavior, security, or privacy protection of third-party artificial intelligence tools. To the extent permitted by law, the Company is not liable for losses arising from a third-party tool's own behavior or your improper authorization, configuration, or use of that tool, where such losses are not caused by the software.

9. Product behavior and updates

Supported formats, recognition behavior, redaction functions, and interface details may change as the product develops. Updates do not expand the scope of an existing license beyond its applicable maintenance period or other license conditions unless separately stated.

10. No professional advice

LocalMask is a redaction and anonymization tool. It does not provide legal, compliance, audit, medical, financial, security, judicial, or regulatory advice and does not replace professional or human review.

11. Warranty disclaimer

The software is provided "as is" and "as available." To the maximum extent permitted by applicable law, we do not warrant uninterrupted or error-free operation, complete compatibility, absolute security, or detection and redaction of every sensitive item.

12. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost data, business interruption, or failure to detect every sensitive item. Where liability cannot be excluded, our aggregate liability is limited to the amount you paid for the relevant license, except where applicable law prohibits that limitation.

13. Termination and changes

If you materially breach this Agreement, we may terminate or restrict the license and require you to stop using the software and license materials. Terms that by their nature should survive termination remain effective.

We may update this Agreement for product, business, or legal changes. Updated terms may be displayed through the website, checkout, app, documentation, or another reasonable channel. Continued use after an effective update constitutes acceptance to the extent permitted by applicable law.

14. Governing law and contact

This Agreement is governed by the laws of the People's Republic of China. Disputes should first be discussed in good faith; unresolved disputes may be submitted to a court with jurisdiction at the location of Nanjing Lingxin Technology Co., Ltd.
